Vital Insights™ Caregiver Accounts
Unity Global Care, Inc. | Vital Insights™ | Powered by ALBERTai®
Effective Date: September 23, 2026 | Last Revised: September 25, 2026
IMPORTANT — PLEASE READ CAREFULLY. THESE TERMS CONTAIN:
In an emergency, call 911 first, then follow your Agency's emergency procedures. Vital Insights is not an emergency service and does not replace any report you are required to make.
1. Acceptance of These Terms
1.1 These Terms of Use (the “Terms”) are a binding legal agreement between you and Unity Global Care®, Inc., a Delaware corporation doing business as ALBERTai® (“Unity Global Care,” “Company,” “we,” “us,” or “our”). They govern your creation and use of a Caregiver Account on the Vital Insights platform.
1.2 You accept these Terms by checking the acceptance box, creating a Caregiver Account, or accessing or using the Services, whichever happens first. If you do not agree to every provision of these Terms, do not create a Caregiver Account or use the Services.
1.3 These Terms supplement the Unity Global Care Terms of Use and Privacy Policy posted at www.unityglobalcare.com and www.goalbertai.com, which are incorporated by reference. If these Terms conflict with the Unity Global Care Terms of Use on any matter concerning Vital Insights Caregiver Accounts, these Terms control.
2. Definitions
“Agency” means the home care, home health, companion care, personal care, hospice, staffing, registry, or other care services organization that employs you, contracts with you, or refers you to Clients, together with its affiliates. If you work for more than one Agency, each is an Agency.
“Client” means any individual to whom you provide services through an Agency and whose visits, information, or wellness data are recorded in or shared through the Services.
“Family” means any Family Account holder, Care Circle member, relative, guardian, or representative of a Client, and any member of a Client's household.
“Caregiver Content” means everything you submit through the Services, including voice notes, visit notes, check-ins, QR code scans, messages, photos, and ratings, and any transcript, summary, score, flag, alert, escalation, trend, or report generated from it.
“Unity Parties” means Unity Global Care and its parents, subsidiaries, and affiliates, and each of their current and former directors, officers, employees, shareholders, investors, members, partners, joint venturers, licensors, suppliers, service providers, contractors, agents, successors, and assigns.
“Caregiver Account,” “you,” and “your” refer to the individual caregiver who creates and uses a Caregiver Account.
“Services” means the Vital Insights platform, the Vital Insights Caregiver App, FamilyVitalInsights.com, ALBERTai, the Vital Resiliency Score and any caregiver wellness features, and all related websites, applications, tools, scores, reports, alerts, and communications.
3. Eligibility and Agency Authorization
3.1 You must be at least 18 years old to create a Caregiver Account.
3.2 You may use the Services only while you are authorized by an Agency to provide services to the Client whose visit you are recording, and only for that Agency's Clients. When your work for an Agency or your assignment to a Client ends, your right to access that Agency's or Client's information ends immediately.
3.3 You represent and warrant that all information you provide about yourself, including your name, credentials, licenses, and certifications, is true, accurate, and current, and you will update it promptly if it changes.
3.4 Your Agency's policies, procedures, and agreements with you apply in addition to these Terms. If your Agency's instructions conflict with these Terms, follow the stricter requirement and notify us.
4. No Employment Relationship With Unity Global Care
4.1 Unity Global Care is not your employer, joint employer, staffing agency, or client. Nothing in these Terms or your use of the Services creates an employment, joint employment, agency, partnership, franchise, or fiduciary relationship between you and any Unity Party.
4.2 Your Agency, not Unity Global Care, is solely responsible for hiring, training, scheduling, supervising, evaluating, disciplining, and terminating you; for your wages, overtime, reimbursements, benefits, taxes, and workers' compensation coverage; and for compensating you for any time you spend using the Services, as required by law.
4.3 Unity Global Care does not pay you for any time spent using the Services and is not responsible for any wage, hour, overtime, expense reimbursement, benefit, or workplace injury claim. Any such claim must be brought against your Agency.
4.4 Unity Global Care does not direct or control how you provide care. The Services are a documentation and communication tool your Agency has chosen to make available.
5. Emergencies, Mandatory Reporting, and Agency Protocols
5.1 VITAL INSIGHTS IS NOT AN EMERGENCY SERVICE. If a Client is in danger or experiencing a medical emergency, you must call 911 immediately and then notify your Agency directly by the method your Agency requires. You must never rely on a voice note, message, alert, or escalation in the Services to report an emergency.
5.2 The Services do not satisfy any duty you have to report suspected abuse, neglect, exploitation, self-neglect, a fall, an injury, a change in condition, or a medication error to your Agency, to a supervisor, to Adult Protective Services, to law enforcement, or to any other authority. You remain personally responsible for making every report required by law and by your Agency.
5.3 Recording a concern in the Services does not mean that anyone has read it, acted on it, or will act on it. We do not guarantee that any alert or escalation will be generated, delivered, read, or acted on, or within any time frame.
6. Your Visit Notes and Communications
6.1 Truthful and accurate. You agree that all Caregiver Content will be truthful, accurate, complete to the best of your knowledge, and based on your own direct observation during an actual visit. You will not fabricate, exaggerate, backdate, or copy visit notes, and you will not record a note for a visit you did not personally make.
6.2 Honest check-ins. You will scan a Client's QR code or otherwise check in only when you are physically present at that Client's location for a scheduled visit. You will not share, photograph, copy, or use a Client's QR code for any other purpose. False check-ins may constitute fraud and may be reported to your Agency and to authorities.
6.3 Stay within your role. You will describe what you observed, such as mood, meals, mobility, medications taken, and anything unusual. You will not diagnose any condition, recommend or change any medication or treatment, or give medical, legal, or financial advice, unless you are licensed to do so and your Agency has authorized it.
6.4 Your personal observations. You acknowledge that your Caregiver Content is your own personal observation and opinion. It is not endorsed, approved, reviewed, or adopted by your Agency or by any Unity Party, and you will not state or suggest that it is.
6.5 Your responsibility. You are solely responsible for your Caregiver Content and for any consequences of it. No Unity Party is responsible for reviewing, correcting, or verifying Caregiver Content.
6.6 Respectful language. You will describe Clients and Families respectfully and will not include profanity, discriminatory remarks, or statements about any person that you know or suspect to be false.
7. Recording, AI Processing, and Scores
7.1 Consent to recording and AI analysis. You consent to Unity Global Care recording, storing, transcribing, translating, and analyzing your voice notes and other Caregiver Content with ALBERTai and other automated systems, and to sharing the results with your Agency and with the Client's Family Account holders and Care Circle as the Services are designed to do.
7.2 No biometric identification. We do not use your voice recordings to create a voiceprint or other biometric identifier for identifying you. If we ever wish to do so, we will first obtain your separate written consent as required by law.
7.3 Scores are informational. The Services may generate visit quality scores, documentation scores, recognition, ratings, and caregiver wellness or resiliency scores (including the Vital Resiliency Score). These scores are automated and may be incomplete or inaccurate.
7.4 Not employment decisions. Unity Global Care does not make, and the Services are not designed to make, hiring, firing, discipline, pay, scheduling, or other employment decisions. Any decision your Agency makes about you is made solely by your Agency, which is solely responsible for complying with employment, anti-discrimination, and automated decision-making laws. You release the Unity Parties from any claim arising from an Agency's use of any score or Caregiver Content.
7.5 Your own wellness information. If you choose to use a caregiver wellness feature, the information you provide and the resulting score will be handled as described in the Privacy Policy and in the feature's own disclosures, including what, if anything, is shared with your Agency.
7.6 Retention and use. Caregiver Content becomes part of the Client's care record held for your Agency and may be retained after your Caregiver Account closes. We may use Caregiver Content in de-identified or aggregated form to operate, secure, and improve the Services, including to train and improve our AI models.
8. Communicate With Families Only Through Vital Insights
8.1 You agree that you will communicate with each Client's Family only through the Vital Insights platform or through your Agency. You will not communicate with any Family member, or attempt to, by personal telephone, text message, email, messaging app, social media, video call, mail, or any other means outside the Services.
8.2 Without limiting Section 8.1, you will not: (a) request, offer, accept, or exchange any personal phone number, email address, social media handle, home address, or other contact information with a Client or Family member; (b) connect with a Client or Family member on social media; (c) arrange to meet a Client or Family member outside your scheduled, Agency-assigned visits; or (d) use any other person to do anything you are prohibited from doing under this Section.
8.3 Permitted exceptions. Section 8.1 does not restrict: (a) in-person conversation with a Client or Family member during a scheduled, Agency-assigned visit, limited to the Client's care; (b) any communication reasonably necessary in an emergency to protect the life, health, or safety of any person, including calling 911; (c) any communication your Agency directs or authorizes in writing; or (d) any communication required by law, or any report to a government agency, regulator, or law enforcement.
8.4 If a Client or Family member asks you to communicate outside the Services or offers you private contact information, you agree to decline politely and to notify your Agency.
9. No Solicitation or Diversion of Clients
9.1 No private work. While you provide services to a Client through an Agency, and for twelve (12) months after your last visit to that Client recorded in the Services, you will not, directly or indirectly, solicit, offer, or accept any engagement to provide care, companionship, household, or personal services to that Client or to any member of that Client's Family or household, other than through the Agency that assigned you to that Client.
9.2 What counts. This includes working for the Client or Family privately, for cash or otherwise; through a different agency, registry, staffing firm, or online marketplace; or through any business you own or control. It also includes encouraging a Client or Family to leave your Agency.
9.3 Scope. This Section does not restrict you from working for any other agency, employer, or client, or from changing jobs. It restricts only your use of Client relationships and information you obtained through the Services and your Agency assignment. To the extent your Agency has its own agreement with you on this subject, the stricter lawful provision applies.
9.4 No use of information to divert. You will never use Client or Family information obtained through the Services to contact, recruit, or solicit any Client or Family for any purpose.
9.5 Remedies. A breach of this Section is grounds for immediate termination of your Caregiver Account and will be reported to your Agency. You agree that a breach would cause Unity Global Care irreparable harm, that Unity Global Care may seek injunctive relief without posting bond, and that you will be liable for the damages your breach causes, together with reasonable attorneys' fees and costs.
9.6 If a Client or Family member proposes that you work for them directly, you agree to decline and to notify your Agency promptly.
10. Gifts, Money, and Exploitation
10.1 You will not request, accept, or receive any money, loan, gift, tip, property, inheritance, power of attorney, access to accounts, credit cards, or passwords, or any other thing of value from any Client or Family member, except as your Agency's written policy expressly permits.
10.2 You will not use the Services, or any information obtained through them, to exploit, deceive, influence, or take financial or other advantage of any Client or Family member.
10.3 Unity Global Care may report any suspected abuse, neglect, or exploitation, including information from your Caregiver Content, to your Agency, to Adult Protective Services, and to law enforcement.
11. Confidentiality and Health Information
11.1 Client and Family information in the Services may be Protected Health Information under HIPAA and other privacy laws. You will access and use it only as needed to provide care to your assigned Clients and only as your Agency authorizes.
11.2 You will not copy, screenshot, photograph, download, forward, post, sell, or disclose any Client or Family information, including on social media, except as required to provide care, as your Agency directs, or as required by law.
11.3 You will not take or upload photographs or video of a Client, a Client's home, or a Family member unless the Services specifically request it, your Agency authorizes it, and the Client or the Client's authorized representative has consented.
11.4 You will notify your Agency and us at UnityInfo@unityglobalcare.com immediately if you believe any Client information has been lost, stolen, disclosed, or accessed without authorization, including if your phone is lost or stolen.
11.5 Your obligations under this Section continue after your Caregiver Account closes and after your work for the Agency ends.
12. Your Profile, Ratings, and Family Messages
12.1 You consent to Unity Global Care displaying your profile, including your name, photo, Agency, role, birthday (if you provide it), ratings, and recognition, to your Agency and to the Families of the Clients you serve.
12.2 Families may rate you and send you appreciation messages. These are the opinions of the Families who send them. Unity Global Care does not create, verify, or endorse them and is not responsible for them. You release the Unity Parties from any claim arising from content posted by a Family, an Agency, or another user.
12.3 You will not solicit, offer anything for, or manipulate ratings or reviews, or rate or review yourself.
13. Prohibited Conduct
You will not, and will not permit anyone to: (a) use the Services for any unlawful purpose; (b) harass, threaten, abuse, defame, discriminate against, or intimidate any Client, Family member, Agency, or other user; (c) share your login or let anyone else use your Caregiver Account; (d) impersonate any person or misrepresent your identity, credentials, or authorization; (e) access information about any person who is not your assigned Client; (f) upload malware or interfere with the Services' security; (g) scrape, copy, or harvest data or contact information from the Services; (h) reverse engineer, decompile, or build a competing product from the Services; (i) record any person through the Services without the consent required by law; or (j) resell or commercially exploit the Services.
14. Your Account, Devices, and Security
14.1 You are responsible for all activity under your Caregiver Account and for keeping your credentials confidential. You will use a device protected by a passcode or biometric lock and will log out of the Services on any shared device.
14.2 You are responsible for any device, data, and carrier charges you incur in using the Services, unless your Agency has agreed to reimburse you.
15. Intellectual Property and Feedback
15.1 The Services, including all software, AI models, scoring methods, content, designs, and trademarks (including Unity Global Care®, ALBERTai®, and Vital Insights™), are owned by Unity Global Care or its licensors and protected by law, including pending patent rights. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services solely to document and communicate about your assigned Clients' care in accordance with these Terms.
15.2 You grant Unity Global Care a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, transcribe, analyze, display, and use your Caregiver Content to provide, secure, and improve the Services, and in de-identified or aggregated form for any lawful purpose.
15.3 Any feedback or suggestions you provide may be used by us without restriction or compensation.
16. Suspension and Termination
16.1 We may suspend or terminate your Caregiver Account at any time, with or without notice, including if your Agency asks us to, if your work for your Agency ends, or if we believe you have breached these Terms. We may notify your Agency of the reason.
16.2 You may close your Caregiver Account at any time. Sections 4 through 13, 15, and 17 through 24 survive termination.
17. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT ANY TRANSCRIPT, SUMMARY, OR SCORE WILL BE ACCURATE, OR THAT ANY ALERT OR ESCALATION WILL BE GENERATED OR DELIVERED.
18. Release
18.1 TO THE FULLEST EXTENT PERMITTED BY LAW, you RELEASE AND FOREVER DISCHARGE the Unity Parties from any and all claims, demands, liabilities, and causes of action arising out of or relating to your use of the Services, including claims relating to your wages, hours, employment, discipline, or termination; any score, rating, or review; any content posted by a Family, Agency, or other user; any illness, injury, or death of a Client; and any injury to you while providing care, INCLUDING CLAIMS BASED ON THE ORDINARY NEGLIGENCE OF ANY UNITY PARTY.
18.2 This release does not apply to any claim that applicable law does not permit to be released, such as, in some jurisdictions, claims for gross negligence, willful misconduct, or fraud, or claims for unpaid wages that cannot be waived.
19. Indemnification
You agree to indemnify, defend, and hold harmless each Unity Party from and against every claim, demand, suit, loss, liability, judgment, settlement, penalty, cost, and expense, including reasonable attorneys' and expert fees, arising out of or relating to:
(a) the care or services you provide or fail to provide to any Client;
(b) your Caregiver Content, including any false, inaccurate, defamatory, or unauthorized statement, recording, or photograph;
(c) your breach of these Terms, including Sections 6, 8, 9, 10, and 11;
(d) any unauthorized access to, use of, or disclosure of Client or Family information by you or through your account; and
(e) your violation of any law or the rights of any third party.
We may assume exclusive control of the defense of any matter, and you will cooperate. You may not settle any matter without our written consent.
20. Limitation of Liability
20.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NO UNITY PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST WAGES, LOST EMPLOYMENT OPPORTUNITIES, PERSONAL INJURY, EMOTIONAL DISTRESS, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
20.2 THE UNITY PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
20.3 Some jurisdictions do not allow certain exclusions or limitations, so some of them may not apply to you. They apply to the maximum extent permitted. See also Section 22.7.
21. Dispute Resolution, Arbitration, and Delaware Venue
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION IN DELAWARE, REQUIRES YOU TO PAY 50% OF ARBITRATION COSTS, AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO BRING OR JOIN A CLASS ACTION.
21.1 Governing law. These Terms and any dispute relating to them or the Services are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The Federal Arbitration Act governs this Section 21.
21.2 Informal resolution. Before starting arbitration, you must send a written notice describing your claim to UnityInfo@unityglobalcare.com and to the address in Section 24, and allow sixty (60) days for good-faith resolution.
21.3 Binding arbitration. Any dispute, claim, or controversy between you and any Unity Party arising out of or relating to these Terms or the Services, including any question about the scope or enforceability of this Section, will be resolved by final and binding arbitration before a single arbitrator administered by the American Arbitration Association (“AAA”) under its applicable rules. This Section does not govern disputes between you and your Agency.
21.4 Delaware seat. All arbitration proceedings will be seated in Wilmington, Delaware. The arbitrator may permit hearings by video or on written submissions.
21.5 Cost sharing. You and the Unity Party will each pay fifty percent (50%) of all costs of the arbitration, including filing, administrative, hearing, and arbitrator fees. Each party pays its own attorneys' fees, except that the prevailing party in any action to enforce Sections 8, 9, 10, 11, or 19 recovers its reasonable attorneys' fees and costs. If the administrator's rules or applicable law cap the amount you may be required to pay, or require us to pay a greater share, you will pay the maximum amount permitted and we will pay the rest, and the remainder of this Section will be enforced.
21.6 Court proceedings in Delaware. Any proceeding that is not arbitrated, including any action to compel arbitration or confirm or vacate an award, will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you irrevocably consent to their personal jurisdiction and venue and waive any objection based on inconvenient forum.
21.7 Exceptions. Unity Global Care may seek injunctive or equitable relief in the courts described in Section 21.6 to enforce Sections 8, 9, 10, 11, 13, or 15. Either party may bring an individual claim in small claims court in Delaware.
21.8 Class and jury waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. YOU AND UNITY GLOBAL CARE WAIVE ANY RIGHT TO A JURY TRIAL. If the class waiver is found unenforceable as to any claim, that claim will proceed in the courts described in Section 21.6.
21.9 Mass filings. If 25 or more similar arbitration demands are filed by or with the help of the same counsel or coordinated group, they will be administered in batches of 25, and the administrator's mass arbitration rules will apply.
21.10 Time limit. Any claim must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
21.11 Opt-out. You may opt out of arbitration (but not of Sections 21.1 or 21.6) by mailing written notice to the address in Section 24 within thirty (30) days after first accepting these Terms, stating your name, account email, and that you reject arbitration.
22. General Provisions
22.1 Severability and reformation. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the court or arbitrator may modify it, including by shortening a restricted period or narrowing a restriction or release, to the minimum extent needed to make it enforceable. The remaining provisions stay in full force.
22.2 Third-party beneficiaries. Your Agency is an intended third-party beneficiary of Sections 8, 9, 10, and 11 and may enforce them directly. There are no other third-party beneficiaries.
22.3 Entire agreement. These Terms, the Unity Global Care Terms of Use, and the Privacy Policy are the entire agreement between you and us about the Services. They do not change any agreement between you and your Agency.
22.4 Assignment. You may not assign these Terms. We may assign them, including in a merger, acquisition, financing, or sale of assets, without your consent.
22.5 No waiver; electronic acceptance. Our failure to enforce any provision is not a waiver. Your electronic acceptance has the same effect as a handwritten signature, and you consent to receive notices electronically.
22.6 Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including network, carrier, or device failures.
22.7 Your rights under state and federal law. Nothing in these Terms limits any right you have under a law that cannot be waived by contract, including rights to wages, to workers' compensation, to report suspected abuse, neglect, fraud, or unlawful conduct to any government agency, or to engage in activity protected by the National Labor Relations Act. If you are a New Jersey resident, the following provisions apply to you only to the extent permitted by New Jersey law: the restriction in Section 9.1; the release in Sections 7.4, 12.2, and 18; the indemnity in Section 19; the exclusions and cap in Section 20; the one-year time limit in Section 21.10; and the cost-sharing terms in Section 21.5. Residents of other states whose laws limit similar provisions receive the same treatment under their state's law.
23. Changes to These Terms
We may revise these Terms by posting the updated version and changing the “Last Revised” date. For material changes, we will give reasonable advance notice by email or in the Services. Continued use after a change takes effect is acceptance. Changes to Section 21 will not apply to any dispute of which we had notice before the change.
24. Notice to California Users; Contact
Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
